1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Ejyalo Technologies Pvt. Ltd. ("eJyalo", "we", "us", or "our"), governing your access to and use of the Platform (as defined below).
By accessing the website at ejyalo.com or using the eJyalo mobile or web application, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately discontinue use of the Platform.
The Platform is intended exclusively for users who are 18 years of age or older. By using the Platform, you represent that you meet this age requirement.

3. Description of Service
eJyalo is a cloud-based property management platform that provides software tools to assist landlords, property managers, and property owners with the management of residential and commercial properties. The Platform enables users to:
- Register and manage buildings, units, and tenant profiles;
- Calculate, generate, and track rent and utility invoices;
- Record and monitor payment receipts;
- Send automated billing reminders and notifications to tenants;
- Monitor smart home devices including electricity usage and security alerts; and
- Access reporting and analytics on property performance.
The marketing website at ejyalo.com provides information about our services and accepts demo and inquiry requests from prospective users.
4. Nature of Service — Platform Only
eJyalo is a technology platform and software tool provider only. The following limitations apply and are a fundamental condition of your use of the Platform:
- eJyalo is not a party to any landlord-tenant agreement, lease, rental contract, or financial obligation between you and your tenants or any other third party.
- eJyalo does not verify, validate, endorse, or accept any responsibility for any invoice, rent notice, utility bill, receipt, or financial document generated, issued, or transmitted through the Platform by a user.
- The accuracy, completeness, and lawfulness of all data entered into the Platform — including rent amounts, utility meter readings, tenant details, building configurations, and financial account details — is solely the responsibility of the user.
- Nothing on the Platform constitutes, and eJyalo does not provide, any legal, financial, accounting, tax, or tenancy advice. Users are advised to seek independent professional advice before relying on any output of the Platform for legal or financial purposes.
- Any dispute, claim, or liability arising between a landlord or property manager and their tenants — including disputes over invoiced amounts, payment defaults, or rental terms — is entirely a matter between those parties. eJyalo has no involvement in such disputes and bears no liability in connection with them.
5. Intellectual Property
All content available on the Platform — including but not limited to source code, software, databases, website design, graphics, text, audio, video, photographs, and logos ("Content") — is owned by or licensed to Ejyalo Technologies Pvt. Ltd. and is protected under the Copyright Act of Nepal and other applicable intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal or internal business purposes only. You may not copy, reproduce, distribute, publicly display, sell, sublicense, or otherwise exploit the Content for any commercial purpose without our prior written consent.
6. User Representations and Eligibility
By using the Platform, you represent and warrant that:
- You are at least 18 years of age;
- All information you provide is true, accurate, current, and complete;
- You have the legal capacity and authority to enter into these Terms — and, if registering on behalf of a business entity, you have the authority to bind that entity;
- You have the legal right to register properties, units, and tenants on the Platform (including authority as landlord, property owner, or authorised property manager); and
- Your use of the Platform will comply with all applicable laws and regulations in Nepal and any other jurisdiction in which you operate.
7. Acceptable Use — Prohibited Activities
You agree that you will not use the Platform to:
- Generate or issue invoices or bills that are unlawful, fraudulent, or in violation of applicable tenancy laws;
- Harass, intimidate, or engage in any abusive conduct toward tenants or any other party using data obtained through the Platform;
- Impersonate any person or entity or misrepresent your identity or affiliation;
- Scrape, crawl, or systematically extract data from the Platform by automated means without our express written consent;
- Reverse engineer, decompile, or attempt to derive source code from any part of the Platform;
- Upload or transmit any virus, malware, or other malicious code;
- Interfere with or disrupt the integrity or performance of the Platform or the data of other users; or
- Circumvent or bypass any security or access controls of the Platform.
We reserve the right to suspend or terminate your account, without notice, if we determine in our reasonable judgement that you have violated any of the above prohibitions.
8. User Responsibilities and Indemnification
You are solely responsible for:
- The accuracy, completeness, and lawfulness of all data you enter into the Platform;
- Ensuring that all invoices, rent notices, and utility bills you generate comply with applicable tenancy laws, utility regulations, and any contractual obligations to your tenants;
- Maintaining the confidentiality of your account credentials and for all activity that occurs under your account; and
- Complying with all applicable laws and regulations in connection with your use of the Platform.
You agree to indemnify, defend, and hold harmless Ejyalo Technologies Pvt. Ltd. and its directors, officers, employees, and agents from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of or access to the Platform;
- Any invoice, bill, or financial document you generate or send through the Platform;
- Any dispute between you and your tenants or any other third party;
- Your violation of these Terms; or
- Your violation of any applicable law or third-party right.
9. Third-Party Personal Data — Tenant Consent
The Platform allows you to enter personal data of third parties, including your tenants (names, phone numbers, and email addresses). By entering such data, you represent and warrant that:
- You have provided appropriate notice to, or obtained all necessary consents from, the individuals whose personal data you enter into the Platform, as required by applicable law;
- You have a lawful basis to provide such personal data to eJyalo for processing in accordance with this Agreement and our Privacy Policy;
- You will not enter personal data of any individual who has objected to or withdrawn consent for such use; and
- You accept full responsibility and liability for any claim by a third party (including any tenant) arising from your failure to obtain required consents or to comply with applicable data protection laws in connection with data you have entered into the Platform.
10. Free Tier and Paid Subscription Terms
- Free Tier: eJyalo is available to all registered users at no charge. Free tier users may access and use all core features of the Platform; however, data visibility is limited to records within the most recent 6 months.
- Data Retention: All data entered into the Platform is retained on our servers regardless of subscription tier. Data beyond the 6-month visibility window is not deleted — it is simply not displayed to free tier users. Upon upgrading to a paid plan, full historical data access is restored.
- Paid Plans: Paid subscriptions unlock access to complete historical data beyond the 6-month limit, along with any additional features available to paid users. All subscription fees are billed in Nepali Rupees (NPR).
- Non-Refundable: All subscription fees paid are non-refundable except where required by applicable Nepal law. There are no partial refunds for unused periods within a billing cycle.
- Cancellation: You may cancel your paid subscription at any time. Upon cancellation, your account reverts to the free tier and data access will be limited to the most recent 6 months. No data is deleted as a result of cancellation.
- Price Changes: eJyalo reserves the right to modify subscription pricing with reasonable advance notice before changes take effect.
11. Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis, without any warranty of any kind, express or implied. To the fullest extent permitted by applicable law, eJyalo expressly disclaims all warranties, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement;
- Any warranty that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components;
- Any warranty as to the accuracy, completeness, or reliability of any calculation, report, or output generated by the Platform; and
- Any warranty that outputs of the Platform are legally sufficient for any tenancy, billing, or regulatory purpose under any applicable law.
12. Limitation of Liability
To the fullest extent permitted by the laws of Nepal, Ejyalo Technologies Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of revenue, profit, data, or business opportunity;
- Financial losses, penalties, or regulatory fines arising from invoices or bills generated through the Platform;
- Losses arising from any dispute between a user and their tenants;
- Losses caused by inaccurate data entered by users; or
- Losses arising from smart home sensor inaccuracies, missed alerts, or device malfunctions.
In any event, the maximum aggregate liability of Ejyalo Technologies Pvt. Ltd. to you for any claim arising under or in connection with these Terms shall not exceed the total subscription fees paid by you in the three (3) months immediately preceding the date of the claim, or NPR 1,000 (whichever is greater), or NPR 1,000 if no fees have been paid.
13. Smart Home Features
Smart home features of the Platform (including remote electricity monitoring, light control, and security alerts) are provided as convenience tools only. eJyalo does not manufacture or certify the smart devices connected to the Platform and is not liable for:
- Inaccuracies in sensor readings or electricity usage data;
- Failure to deliver or delays in security alerts; or
- Any loss, damage, or injury arising from reliance on smart home feature outputs.
14. Third-Party Links
The Platform may contain links to third-party websites or services. Such links are provided for your convenience only and do not constitute an endorsement by eJyalo of the content, accuracy, or practices of those third-party sites. eJyalo is not responsible for the content, privacy policies, or reliability of any third-party website. Accessing third-party sites is at your own risk.
15. Service Availability and Modifications
eJyalo reserves the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice, for maintenance, upgrades, or any other reason. We shall not be liable for any interruption, modification, or discontinuation of the Platform beyond our reasonable control, including power outages, internet service failures, natural disasters, government actions, or other force majeure events.
16. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Nepal. Any dispute, controversy, or claim arising out of or in connection with these Terms — including any question regarding their existence, validity, breach, or termination — shall be subject to the exclusive jurisdiction of the competent courts in Kathmandu, Nepal.
17. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes will be indicated by an updated "Last Updated" date at the top of this page. It is your responsibility to review these Terms periodically. Your continued use of the Platform after the revised Terms are posted constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must discontinue use of the Platform.
18. Termination
We may, at our sole discretion and without prior notice, restrict, suspend, or terminate your access to the Platform if we determine that you have violated these Terms, engaged in fraudulent or unlawful activity, or if your use of the Platform poses a security risk or harm to other users or to eJyalo. Upon termination:
- Your right to access the Platform ceases immediately;
- Any outstanding subscription fees become due and payable;
- Your account data is retained on our servers in accordance with our data retention policy and our Privacy Policy — data is not automatically deleted upon termination; and
- Clauses that by their nature should survive termination (including Sections 4, 8, 9, 11, 12, 16, 19, and 20) shall remain in full force and effect.
You may terminate your account at any time by contacting us at support@ejyalo.com. Termination of a paid subscription will revert your account to the free tier; no fees paid will be refunded.
19. Language
These Terms are drafted in the English language. In the event of any translation into another language, the English version shall prevail and govern in the event of any conflict or inconsistency between the English version and any translated version.
20. General
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ejyalo Technologies Pvt. Ltd. with respect to the subject matter hereof and supersede all prior understandings, representations, and agreements, whether oral or written.
Severability. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be severed from the remainder of these Terms, which shall continue in full force and effect.
Assignment. You may not assign or transfer your rights or obligations under these Terms to any third party without the prior written consent of eJyalo. Ejyalo Technologies Pvt. Ltd. may assign or transfer its rights and obligations under these Terms without your consent to an affiliate, to a successor by merger, or in connection with a sale of all or substantially all of its assets.
No Waiver. Failure by eJyalo to enforce any provision of these Terms shall not constitute a waiver of its right to do so in the future.
